RX NOW TERMS OF USE

1. INTRODUCTION
1.1 Acceptance of terms. These RX NOW Terms of Use ("Terms", or the “Agreement”) govern your (hereinafter, "you", “Participant” or the "User") use of and access to RX NOW (as defined below) related to the Events of Reed Exhibitions Limited, Reed Exhibitions, a division of RELX Inc. or the global affiliates ("RX").
By registering for, accessing, logging into and/or using RX NOW including scanning a Colleqt QR code, clicking the “Register”, “Collect”, “Log In” or similar button (hereinafter, “use” or “access”), you understand and agree to be bound by these Terms as well as Participant Event Terms. If you do not agree to these Terms, then you may not access RX NOW. Your right to access RX NOW is expressly conditioned upon your assent to and compliance with these Terms.
If RX reasonably believes you are in violation of these Terms, RX may terminate or suspend access to RX NOW without notice in its sole discretion.
1.2 Modifications and Updates.
a) RX reserve the right to change, modify, add or remove portions of these Terms at its sole discretion at any time and without prior written notice. RX encourages you to review these Terms periodically for any modifications. By continuing to access or use RX NOW following the posting of any changes, you accept and agree to the revised Terms.
b) You agree that RX may change or Update any part of RX NOW including its Content, at any time or discontinue RX NOW or any part thereof, for any reason, but without further liability.
1.3 Eligibility.
a) You agree that by acceptance of these Terms and/or by accessing RX NOW you are entering into a binding contract with RX and are at least eighteen (18) years of age, or the legal age of majority in your jurisdiction of residence, whichever is greater.
b) You may not access RX NOW and may not accept these Terms if you are a person barred from using RX NOW under the laws of the country in which you reside or from which you access RX NOW.
2. DEFINITIONS
Any capitalized terms which are used but not otherwise defined in these Terms shall have the meanings set forth in the RX Digital Services and RX NOW Definitions available at https://legal.rxglobal.com/en-gb/rx-terms-definitions.html (the “Terms of Use Definitions”). In the event of a conflict between the Terms of Use Definitions, the Participant Event Terms, the RX Digital Services Terms of Use available at https://legal.rxglobal.com/en-gb/digital-services.html and these Terms, or the following order of precedence shall apply to RX NOW: (1) these Terms, (2) the Terms of Use Definitions, (3) the Participant Event Terms, (4) the RX Digital Services Terms of Use
3. RX NOW LICENSE
3.1 Grant of License. Subject at all times to the Terms and to the limitation set forth below, RX hereby grants you a non-transferable, non-exclusive license to access and use RX NOW during the period when the applicable RX NOW is available.
3.2 License Limitations. Save as expressly agreed herein, you shall not
(i) modify or create any derivative works of all or any portion of RX NOW, including without limitation translation or localization;
(ii) redistribute, encumber, sell, rent, lease, or sublicense RX NOW; use RX NOW in a timesharing or service bureau arrangement; or otherwise transfer rights in or to RX NOW or any portion thereof;
(iii) copy all or any portion of RX NOW;
(iv) remove any trademark, logo, copyright, or other proprietary notices, legends, symbols, or labels in RX NOW;
(v) use automated tools, bots, or scraping technologies to extract data from RX NOW; or
(vi) use RX NOW in any manner that compromises its security, integrity, or availability.
3.3 Use of RX NOW. You agree to use RX NOW in accordance with these Terms and all applicable laws, including, without limitation, (i) applicable data protection and privacy laws and (ii) applicable anti-spam and unsolicited messages laws, and shall not use RX NOW for any purpose other than that which is intended.
4. ACCOUNT INFORMATION
4.1 Account Creation and Access. In order to use RX NOW, you may be asked to sign-in using your relevant information. Where you must create or utilize an account, passkey,link, or scan your Event badge to access the RX NOW (the "Account"), you may be required to select a passkey or password (the "Login Information"). For the purposes of these Terms, references to the Account and the Login Information shall include any account and account information, including user names, email, passkey, passwords, security questions, or Event badge barcode or QR code, as applicable, whether or not created for the purpose of using the RX NOW (collectively, the Digital Credentials”).
4.2 Security and Responsibility. You agree to the following rules governing the security of your Digital Credentials:
(i) You shall not share your Digital Credentials with any third parties, nor let anyone else access your Account, nor do anything else that might jeopardize the security of your Credentials.
(ii) In the event you become aware of, or reasonably suspect, any breach of security, including, without limitation, any loss, theft, or unauthorized access to your Digital Credentials, you must immediately notify RX at [email protected]
(iii) You are solely responsible for maintaining the confidentiality and security of your Digital Credentials , and you will be responsible for all uses of your Digital Credentials, including, without limitation, any purchases made using your Digital Credentials;
(iv) You are responsible for all uses of your Digital Credentials, whether or not such uses or actions were taken by you, including without limitation and for the avoidance of doubt, any actions taken by third parties whether authorized or unauthorized by you.
(v) You acknowledge that your Digital Credentials may be suspended or your Account may be terminated if used to engage in any activity that violates these Terms or is otherwise improper or illegal, as determined in RX’s sole discretion; and
(vi) You accept full responsibility for any unauthorized use of the RX NOW, through your Account, by any individual or entity barred from accepting these Terms and/or receiving the Services, under the provisions listed herein and/or any applicable law;
4.3 RX Digital Services Specific Controls. RX reserves the right, in its sole discretion, to remove or reclaim any Account access or username (as applicable) at any time and for any reason, including but not limited to claims by a third party that a username violates such a third party's rights.
4.4 Accuracy of Information. You agree to supply accurate and complete information to RX through RX NOW, and you agree to update that information promptly in the event it changes. You represent and warrant that you have full right and authority to provide RX with any such information, including, without limitation, any third party's consent (to the extent required under any applicable law).
5.1 Content and RX NOW. RX NOW allows for the offering, distribution and monitoring of Content. All Content made available through RX NOW is either:(i) RX Content; (ii) Participant Content; and/or (iii) Customer Content. RX shall have the right to review, approve, and remove any Participant Content or Customer Content submitted through RX NOW as necessary to ensure compliance with these Terms, applicable laws, regulations, or legal obligations, or to respond to requests or directives from law enforcement authorities.
5.2 Responsibilities of Customer: Customer Data and Content. The Customer is fully responsible and liable for any and all Customer Data as well as Customer Content, including, but not limited to, information, data, text, messages, links, graphics, video, recommendations, notifications, offers, promotional materials or other materials, made available through RX NOW. RX makes no representations or warranties with respect to the Customer Content, and the Customer is solely responsible for supplementing, modifying and updating the Customer Content. Participants acknowledge that any interaction with Customer Content or Customer is undertaken at their own discretion and risk.
5.3 Participant Data and Participant Content. By scanning a Colleqt QR Code or allowing a Customer to scan Participant’s badge using Lead Manager App, Participant understands that they are sharing Participant Data and Participant Content with the applicable Customer. The following information may be shared:(i) full name; (ii) company or organization name; (iii) business phone number (if provided); (iv) country and city; (v) industry segment or interests (if specified); and (vi) other registration or profile data provided during event registration. No sensitive payment or personal identification information (such as home address, date of birth, or government ID numbers) is shared with the Customer via Participant’s use of RX Now, the Colleqt QR Code or Lead Manager App.
5.4. Automated Recommendations and Content Processing. RX NOW may use Customer Content to generate personalized recommendations for Participants. These recommendations may be surfaced through automated or algorithmic processes based on Participant interactions, preferences, and contextual factors such as proximity or engagement history. Customer Content may be automatically translated using AI into different languages for the convenience of Customers and Participants. RX does not guarantee the accuracy or completeness of any translation and disclaims all liability for any errors, omissions, or misunderstandings arising from such translations. The original language version provided by the Customer or Participant will prevail in the event of any inconsistency.
6. USE OF RX NOW BY EVENT PARTICIPANTS
6.1 Access. Only Participants may access RX NOW, and such access is granted either (a) by email authentication via an email address used by the Participant to register for the applicable Event (the “Registered Email”), or (b) by scanning the Participant’s Event badge. By acceptance of these Terms, the Participant agrees that their Registered Email, registration data, including, but not limited to the Registered Email, will be shared with Customer.
Participants may access RX Content, Customer Content and collect offers and redemption details through the RX NOW.
To the extent an individual accesses the RX NOW who does not meet the definition of a “Participant”, such individual’s access to RX NOW shall be considered a violation of these Terms and RX reserves the right to bar such users, on a permanent or temporary basis at our sole discretion.
6.2 RX Content. RX NOW may include RX Content, including, without limitation (a) the Customer Profile/Directory (which may contain Customer Content), (b) a schedule of conference, education or presentation sessions at the Event, (c) floor plan of the Event (d) speaker and presenter information, and (e) any other Event-related information, resources, or materials made available by RX.
6.3 Customer Content. Based on the Participant’s interaction with the Customer via RX NOW, the Participant may receive the following from the Customer via RX NOW: (i) product brochures, digital content, the Customer’s information from the Customer Profile/Directory or other materials via email or the event app (as permitted by you); (ii) Customer Data, including, contact details of the Customer representative, including name, position, and company; (iii) follow-up information regarding Participant or Customer’s participation at the Event; (iv) personalized recommendations, offers or invitations; (v) surveys or feedback requests; (vi) Customer offers. The nature and extent of information provided by Customer is at Customer’s discretion and may vary by Customer.
6.4 Disclaimer and Responsibilities: All matters concerning the Customer Content, merchandise and services desired or collected from a Customer, including but not limited to redemption terms, warranties, guarantees, maintenance and delivery, are solely between Participant and Customer. RX makes no warranties or representations whatsoever regarding any Customer Content, or goods or services provided by Customer. RX is not, nor should RX be construed as, a party to such transactions, whether or not RX may have received some form of revenue or other remuneration in connection with the Customer’s participation in the Event. Participant agrees that RX will not be liable for any costs or damages arising out of such transactions, either directly or indirectly. RX is not responsible for examining or evaluating, and does not warrant the Customer Content, merchandise and services of Customer. RX does not assume any responsibility or liability for the actions, product or content of these and any other third parties. Participants should carefully review the privacy statements and other conditions of use and redemption associated with any Customer Content. To the extent that a Customer offer is cancelled, unable to be redeemed or does not meet expectations for any reason, you must contact the Customer and your sole and exclusive remedy with respect to the Customer offer is with the Customer and not with RX. RX is not responsible for the truth or accuracy of any Customer Content listed by Customers or the ability of any Customer to perform or complete a transaction. Notwithstanding the foregoing, you may report the misconduct of Customers and/or third parties in connection with RX NOW or any Services to us, and RX, in its sole discretion, may investigate the claim and take action. RX Content is provided for informational and networking purposes only. While RX endeavors to ensure the accuracy and timeliness of RX Content, RX makes no representations or warranties regarding its completeness, reliability, or availability. RX reserves the right to modify or remove any RX Content at any time without notice. Participants should not rely solely on RX Content for making business or purchasing decisions and are responsible for verifying any information before acting upon it.
7. INTELLECTUAL PROPERTY
7.1 RX NOW is licensed for your use, not sold. RX NOW is protected by copyright law, other intellectual property laws, and by international treaties. RX NOW, including without limitation the structure, organization, and code constitute valuable trade secrets of RX and its suppliers. All rights, title and interest in and to (i) RX NOW, including without limitation any and all copies documentation that may be included in, or provided in connection with, RX NOW; (ii) any reports or analyses prepared by RX in connection with the use of RX NOW; and (iii) any know-how or Intellectual Property contained in or associated with the foregoing are owned by and shall solely remain with RX and/or its suppliers. RX shall own all right, title and interest in modifications, design changes or improvements of RX NOW suggested by you or by any other party, without the payment of any consideration thereof.
7.2 Except where explicitly provided herein, RX does not grant any express or implied licenses. All rights not explicitly granted herein are reserved by RX.
8. DISCLAIMER AND LIMITATION OF LIABILITY
EXCEPT AS EXPRESSLY PROVIDED HEREIN, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, RX NOW AND SERVICES ARE PROVIDED "AS IS" AND RX DISCLAIMS ALL OTHER WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. RX DOES NOT WARRANT THAT THE RX NOW WILL BE FREE FROM DEFECTS, THAT RX NOW WILL IDENTIFY SECURITY VULNERABILITIES, OR THAT USE OF RX NOW WILL BE UNINTERRUPTED OR ERROR-FREE. RX IS NOT RESPONSIBLE, AND HAS NO LIABILITY FOR ANY HARDWARE, SOFTWARE, OR OTHER ITEM OR SERVICE PROVIDED BY ANY THIRD PARTY PERSON OR ENTITY. EXCEPT FOR ANY WARRANTIES EXPRESSLY STATED IN THESE TERMS, THE ENTIRE RISK ARISING OUT OF ACCESS, USE OR PERFORMANCE OF RX NOW OR AS TO THE SATISFACTORY QUALITY, PERFORMANCE, AND ACCURACY OF RX NOW REMAINS WITH YOU. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, YOU ACKNOWLEDGE THAT RX DOES NOT WARRANT OR GUARANTY THE SECURITY OF RX NOW OR OF COMMUNICATIONS MADE USING RX NOWAND ASSUME ALL RISKS ASSOCIATED WITH SUCH SECURITY AND COMMUNICATIONS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL RX OR ANY OF ITS SUPPLIERS BE LIABLE UNDER ANY LEGAL THEORY (INCLUDING, WITHOUT LIMITATION, CONTRACT, TORT, NEGLIGENCE, OR STRICT LIABILITY) FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, CORRUPTION OR LOSS OF DATA, COST OF PROCUREMENT OF SUBSTITUTE GOODS, SERVICES, OR TECHNOLOGY) ARISING OUT OF THE SUBJECT MATTER OF THESE TERMS OR ANY RELATED AGREEMENT FOR SERVICES ENTERED INTO BY THE PARTIES OR ANY TRANSACTION BETWEEN THE CUSTOMER AND ANY PARTICIPANT, EVEN IF RX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, RX'S SOLE LIABILITY FOR DAMAGES ARISING UNDER THESE TERMS OR ANY RELATED AGREEMENT FOR SERVICES ENTERED INTO BY THE PARTIES OR ANY TRANSACTION BETWEEN THE CUSTOMER AND ANY PARTICIPANT SHALL BE LIMITED TO TWO HUNDRED POUNDS (£200).
9. GOVERNING LAW
These Terms will be governed by and construed in accordance with the laws of the England and Wales and the parties irrevocably consent to the exclusive jurisdiction of the courts of the England and Wales, with respect to any action or suit arising out of or pertaining to this Agreement (except where local law requires).
